Although these days a person may use the Internet to register an entity by merely providing limited information to a secretary of state and by paying a registration fee, more is required to protect the business owner from tax authorities, persistent creditors, or aggressive plaintiffs.

The first step is to choose an entity that will best serve your interests. The next step is to determine with which state the entity will be registered. Contrary to a popular misconception, there is virtually no advantage to forming an entity in Delaware, Nevada, or Wyoming. The state in which the entity will conduct business is likely the best formation choice, with consideration being given to state-of-residence issues for the business owner. Finally, the underlying business formation and operating documents will be drafted and executed evidencing the legitimacy of the entity. All of this can likely be accomplished for a few hundred dollars and over a period of a few days.
